Terms of Service

1. Acceptance of Terms

By accessing or using the services of H.H.S Trade International LLC ("H.H.S," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

H.H.S provides international freight forwarding, customs brokerage, warehousing, distribution, and supply chain consulting services. All services are subject to these terms and any applicable service-specific agreements.

3. Service Standards

We operate under the standard terms and conditions of the National Customs Brokers & Forwarders Association of America, Inc. (NCBFAA) and other applicable industry standards. Certain services are also governed by international conventions including the Warsaw Convention, Montreal Convention, and Hague-Visby Rules.

4. Customer Responsibilities

As our customer, you agree to:

• Provide accurate and complete shipping information
• Properly declare cargo contents, value, and any hazardous materials
• Comply with all applicable customs and trade regulations
• Pay all fees, duties, taxes, and charges when due
• Provide required documentation in a timely manner
• Ensure cargo is properly packed for the intended mode of transport

5. Payment Terms

Payment is due according to the terms specified in your service agreement or invoice. Standard terms are Net 30 for approved accounts. Late payments may incur interest charges of 1.5% per month or the maximum allowed by law.

6. Limitation of Liability

Our liability is limited in accordance with applicable international conventions and industry standards. For lost or damaged cargo:

• Air Freight: Limited per Montreal Convention (approximately 22 SDR per kilogram)
• Sea Freight: Limited per Hague-Visby Rules (approximately 666.67 SDR per package or 2 SDR per kilogram, whichever is greater)
• Land Freight: Limited per applicable national regulations

We strongly recommend cargo insurance to protect against loss or damage beyond these statutory limits.

7. Cargo Insurance

Cargo insurance is not included in standard freight rates unless explicitly stated. We offer comprehensive cargo insurance options that we strongly recommend for all shipments.

8. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, government actions, strikes, pandemic, and carrier delays.

9. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of H.H.S Trade International LLC and is protected by intellectual property laws.

10. Prohibited Cargo

We do not handle the following cargo without prior written approval:

• Illegal goods and controlled substances
• Live animals (unless specifically arranged)
• Human remains
• Currency, precious metals, and negotiable instruments
• Weapons and explosives (except with proper authorization)
• Undeclared hazardous materials

11. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good-faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration under the rules of the American Arbitration Association

12. Governing Law

These Terms shall be governed by the laws of the State of New York, USA, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in New York County, NY.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of our services after modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
